This document (T&Cs) contains the terms and conditions of use of the CAPACITAR+ online learning platform and the services provided through that platform. These general terms and conditions of sale are agreed between the Agência de Investigação Clínica e Inovação Biomédica (AICIB), with headquarters at Rua Direita do Viso, 120, 4250-198 Porto, tax identification number 514 978 538 and contact number +351 221 152 385, hereinafter referred to as ‘AICIB’, and persons wishing to make purchases through the website www.capacitarmais.aicib.pt, hereinafter referred to as ‘User’. The parties agree that purchases made through the website www.capacitarmais,aicib.pt shall be governed exclusively by this contract, to the exclusion of any conditions previously available on the website. The purpose of these general terms and conditions of sale is to provide and define all the information necessary for the User regarding the methods of ordering, selling, paying for and purchasing on the website www.capacitarmais,aicib.pt. These conditions govern all the steps necessary to place an order and ensure the follow-up of this order between the Contracting Parties. As detailed below, these T&Cs apply to registered users.

 

1. Acceptance of T&Cs

When creating an Account on the CAPACITAR+ platform, user is explicitly asked to accept these T&Cs. This includes the access to any documentation or data within the platform.
Please also note that acceptance of these T&Cs also implies that you have read, understood and accepted the CAPACITAR + platform Privacy Policy, which can be found at the following link: Privacy Policies 
By accepting this T&Cs, and the connected Privacy Policy, the physical persons acting on behalf of an Organisation represent that they are acting on behalf of such entity and that they either have the legal authority to also bind them to the present T&Cs or the authority to act in the manner and within the limits arising from the permissions and delegations delegated to them, thus binding the Organisation to the T&Cs.

2. Access to the CAPACITAR+ platform

CAPACITAR+ is an Online Learning platform under the management of AICIB using the services of its subcontractor Pantheon Systems, Inc.
Pantheon Systems, Inc. is a reliable company that provides the infrastructure for CAPACITAR+.
All contents and purposes of use are determined by AICIB. By using this platform the is legally and financially responsible for any losses or damages caused to the platform before AICIB.
Each user is fully responsible for the truthfulness and ongoing updating of all information relating to themselves.
In any case, AICIB reserves the right at any time to ask for confirmation and/or proof of the truthfulness of the above-mentioned information, including confirmation of the positions held by the reference persons of the Organisation having access to the Online Learning platform CAPACITAR+, as well as the fact that such persons have the power to commit themselves on behalf of said Organisation.
Use of the Online Learning platform and related Services in violation of the terms of these T&Cs, in particular in the absence of the requirements set forth herein, as well as the provision of false information to obtain access to the platform, will result in the immediate termination of any infringing Account, at AICIB sole and absolute discretion.

3. Account use and access

Each Account must refer to a single natural person, identified at the time of its creation, and may not be shared between multiple users or individual persons in general. Violation of the foregoing may result in termination of Accounts at our sole and absolute discretion.
Organisations are directly responsible for keeping any uploaded data relating to them up to date. This also applies with regards to their contact data, or any other data uploaded in relation with the Online Learning platform or in general the Services. In case of failure to update the contact data of any entity, We will have the right, at our sole discretion, to continue to consider the person indicated as the contact person for the relevant Organisation, and therefore also able to commit said Organisation towards us.

4. Order

The User places their order by completing the purchase process presented on the website, adding the product(s) they wish to order to their shopping basket. 
Final confirmation of the order by the User implies full and complete acceptance of the prices and description of the products/services available for sale, as well as these General Terms and Conditions of Sale, which shall be the only ones applicable to the contract thus concluded.
The User is solely responsible for the information contained in the invoice. Once issued, the invoice cannot be reissued with changes.

5. Payment

Payment for products or services is facilitated by our partner, Easypay - Instituição de Pagamento Lda

On its website, AICIB offers Users the following payment methods:
a) Credit card (Visa, Mastercard);
b) ATM reference;
c) MB Way;

In order to complete the transaction, EasyPay will request certain personal data from the buyer, including the buyer's name, address, telephone number, email address, and tax identification number (TIN). Please note that EasyPay automatically collects IP data. For the purpose of invoicing, EasyPay provides AICIB with the requested data and the identification of the purchased product or service.
The data collected for payment and invoicing purposes is mandatory and will be processed in accordance with Article 6(1)(b) of the GDPR. In accordance with Article 6(1)(c), it will be retained for a period of 10 years, with the aim of ensuring compliance with AICIB's tax obligations.
The organiser will retain your data until the end of the event and, in addition, only the data necessary to comply with legal obligations.
You may request a written copy of your data from AICIB by email capacitarmais@aicib.pt, as well as, where applicable, the portability of the data, the rectification, restriction of processing or deletion of any data that is inaccurate, incomplete or irrelevant. Should you require any further information or wish to make a complaint about your invoice, please do not hesitate to contact us.

6. Prices

Prices are in euros, including taxes and duties, taking into account the VAT in force on the date of payment of the order.

7. Cancellation and Returns

The cancellation and return process is handled on a case-by-case basis by AICIB.
The request must be sent in writing to capacitarmais@aicib.pt within 14 days of placing the order. Instructions for cancelling the payment will be provided and defined by AICIB via the same means of communication. The refund does not apply once the training certificate has been issued, even if it is within the 14-day period.
Whenever possible, the refund should be made using the same payment method, but if this is not possible, the user must provide proof of payment and account or card ownership so that the refund can be made by bank transfer.
AICIB undertakes to reimburse the User within a maximum period of 30 days.

8. Obligations and responsibilities

Users are fully responsible to safeguard their access credentials - including in the sense of the combination of email and password - and to hold us, or in any case the entities managing the Online Learning Agreement platform, harmless from any damages that may be suffered by us or by third parties due to the unauthorized disclosure, use and distribution of such credentials, unless such damages are due to wilful misconduct or gross negligence by us.
Each User is solely responsible for (and ensures) the following:
If user is uploading Personal Data regarding a different individual, they obtained consent and permission to upload their Personal Data. 
We will be considered the Data Controller in relation to the above-mentioned Personal Data with regard to the Processing carried out within the Online Learning platform, on the grounds that the User who uploads Personal Data independently manages any previous processing, ensuring us at least: (i) performing such processing in full compliance with the GDPR; (ii) having obtained any necessary consent to upload personal data to the platform, as mentioned above, regardless of the specific purpose for which such data is being communicated and will be used.
The content the user upload complies with all applicable laws and regulations, such as not being offensive, harassing, invasive of another's privacy, hateful, or otherwise unlawful.
The content the user upload does not require obtaining a license from or paying any fees and/or royalties by us to any third party for the performance of any Services that the Users have chosen to be performed by us or for the exercise of any rights granted in the present T&Cs. If not, Users will be solely responsible for obtaining said licenses and paying said fees and/or royalties.
The content the user upload is not harmful (for example does not entail/contain viruses, worms and other destructive codes) and does not contain any programs that overload or interfere with the work of the platform or distort the content uploaded by other Users.
Use of the Online Learning platform CAPACITAR+ related Accounts and related Services, in violation of any of the above commitments may result in termination of Accounts and prohibition of use of the platform at AICIB sole discretion.
AICIB cannot be held responsible for the improper or illegal use of accessible information of users by other users.
In general, and notwithstanding the above, any data or piece of information shared on the platform shall not contain any material and/or statement which violates or infringes in any way upon the rights of others; which is unlawful, offensive or invasive of privacy or publicity rights; which gives rise to civil liability or otherwise violates any applicable law. AICIB, at our sole discretion, reserve the right to remove any data or piece of information that We deem inappropriate or to be failing to comply with these T&Cs.
AICIB shall not be liable for any loss, damage or personal injury to any User or their property or other caused or suffered in connection with the use of the Online Learning platform or related Services, or related to any information collected therein. By accepting these T&Cs, Users expressly agree to the above disclaimer and accept the risks associated with it.
Should they become aware of any violation of these T&Cs, including by another User, Users are required to promptly notify AICIB by email capacitarmais@aicib.pt

9. Copyright Protection 

All material content on this platform, including videos, graphics, text, images, drawings, music, sounds and other information, is protected by Copyright and Related Rights and Industrial Property Rights under Portuguese law, European Union law and other international agreements and conventions, and may not be used outside the permitted conditions.
Users may copy, import or use part or all of the information on this platform free of charge for personal or public use, provided that it is not for profit or offensive purposes and the source of the information is acknowledged. 
Users are prohibited from modify or in any other way change the content in a way that alter the message, meaning, context or authorship of that content. Users are also re prohibited from using any piece of information in a way that cause disinformation, fake news, impersonating or any other abusive, immoral, unethical or illegal result.
With regard to the websites to which this platform may links, authorisation must be obtained from the authors or reference must be made to the source in accordance with the respective copyright statements.

10. Termination of accounts

Regardless of what is stated elsewhere in these T&Cs, an Account remains open and operational until: (i) the reference person terminates such Account; (ii) AICIB determines that such Account has become inactive or in any case that there are no longer reasons to keep the relevant data stored; or (iii) AICIB determines to sanction a violation of these T&Cs by terminating such Account.

11. Consent to communication

We may at any time contact the Users in order to request more information about the data they submitted upon the registration of the Accounts or in any other instances, to ensure that the validation procedure in line with the highest security standards, or to handle any potential issues, obstacles, or concerns that may arise.

12. Security

Users are ultimately responsible for the security of their login ID and password, and they must take care when using and storing them. We recommend that they do not divulge their password to anyone, that they log out of their accounts at the end of each computer session to ensure that others cannot access their personal information, especially if they share a computer with someone else or are using a computer in a public place. Users shall not forget that they are fully responsible for the use of their accounts.

13. Choice of Law and choice of Jurisdiction 

Any dispute related to the present T&Cs concerning their application, binding nature, interpretation, whether directly or indirectly, shall be governed by the law of Portugal.
In case any such dispute cannot be settled amicably between the Users and us, it shall be submitted to the exclusive jurisdiction of the courts of Portugal.

15. Disclaimer

Any withdrawal or termination in relation to a specific user of these T&Cs, or the Online Learning platform in general, will not affect in any way the responsibilities that have arisen upon users up to that point, or in any case the responsibilities that may arise in the future in relation to activities carried out or events occurring during the pendency of the application of these T&Cs to such users.
Please note that any link to sites or applications of third parties on our websites, on the Online Learning platform, or in the related legal documentation does not constitute sponsorship or affiliation between such third party and us unless explicitly indicated otherwise.

 

Update of T&Cs
The present T&Cs are subject to change and update. Any information on such updates will be announced on the AICIB’s website and will also be communicated to all Users by notice available on the platform before the change becomes effective.
